Terms and Conditions for use of Reson8 Online SMS

Please read the following terms very carefully as they set out your rights and obligations when you register for, or use any of our services.

Definitions

Reson8 - Refers to the Reson8.ae website and service. The Reson8.ae website, Reson8 product and other related products and services are registered and legally owned by Unique Computer Systems.

UCS - Refers to Unique Computer Systems, which is the service provider and owner of the Reson8.ae website, Reson8 service and all related products and services associated with Reson8.

SMS - Refers to Short Message Service.

Credits - Refers to one or more credits for sending SMS messages. A valid SMS credit provides the registered user the right to send one (1) SMS message to a valid subscriber.

Agreement - Refers to the agreement between UCS and the registered customer that comes about by the registered customer's acceptance of these terms as set out in this document.

Content - Refers to any data sent as part of an SMS message.

This an agreement between Unique Computer Systems, a limited liability company registered at P.O. Box: 42645, Sharjah, United Arab Emirates and the party signing up for a Reson8 SMS account.

As a registered customer of Reson8.ae, you agree

• To only use Reson8.ae Not to send unsolicited or unwelcome messages.
• Not to use Reson8.ae for any purpose which is against public interest, public order or national harmony.
• Not to provide information that is offensive on moral, religious, communal or political grounds.
• Transmit any information or do anything that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the services.
• Transmit any information that you do not have a right to transmit or which infringes another's rights.
• Transmit any unsolicited or unauthorized promotion (including without limitation "junk mail", "spam", "chain letters" or "pyramid schemes").
• Transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Interfere with or disrupt the services or servers or networks connected to the services, or disobey any requirements, procedures, policies or regulations of networks connected to the services; or collect or store personal data about other users.

Acceptable Usage Policy

Opt-out

To Opt-out (discontinue receiving messages from Reson8, Unique Computer Systems or any of its partners using the Reson8 service), reply "QUIT", or "UNSUBSCRIBE" to 6992 from your mobile device. You will not receive any additional messages from the sending party unless you Opt-in again.

Expiration of SMS credits

For all registered Reson8 accounts, including trial accounts, the customer will be assigned with a number of SMS credits. In the case of trial accounts, the SMS credits will expire within 60 days. For purchased Reson8 accounts, the SMS credits will expire within 120 days or as per the agreed terms with UCS.

Short Code ownership

If required, UCS will register and allocate one or more short codes to corporate registered customers. The corporate registered customer only gets limited usage of the registered short code(s). At any point in time, UCS may retract the right to use of its short codes from the registered corporate customer. A registered customer does not get the right to transfer or attempt to transfer allocated short codes to anyone else or use it for any purpose which are against the acceptable usage policy defined by UCS. Registered customers must ensure that they comply with the terms and conditions laid out in this document and a failure to do so may result in the allocated short codes to be withdrawn and termination of the registered customer account.

Country based restrictions

Each country in which SMS can be sent has its own rules and regulations for sending and receiving SMS. UCS conforms to the rules and regulations of the telecommunication service providers of each of the countries to which it provides a channel to send SMS messages.

Suspension

UCS may suspend your account or the service in following events

• If required by law to do so or in the event of it becoming impossible for us to deliver services to you due to circumstances beyond our control.
• If we find that the service has been misused or 'SPAM' or inappropriate messages have been sent via your account.
• If we find that you use the services in contravention of the Acceptable Usage Policy, applicable law, regulation or industry code of conduct.
• If you fail to pay any fees due to us within the agreed time and terms.
• For any scheduled maintenance activities or emergency repair or system security breach.

Reinstatement

UCS will reinstate your account or the service

• At the earliest possible in the event of a planned or unplanned system outage once required system maintenance is complete.
• Once any overdue or outstanding payments have been cleared.
• Once we are satisfied that the cause of suspension no longer exists.

Termination

UCS has the right to terminate your account at any time in the event of the following

• If there are any unpaid dues beyond the agreed payment terms and you have received at least one notice to clear the payment.
• Any violation on your part of the Acceptable Usage Policy (AUP) highlighted above.
• You have not used your account for over 6 months for any active messaging.

In the event your account is terminated, you will lose any remaining credit in the account

Acceptance of terms and conditions

By registering for a Reson8 account and using services provided Reson8 you agree that you have read, understood and are bound by these terms, regardless of how you registered for or use of the services.

If you do not want to be bound by the terms, you must not register for, or use a service.

Revision or change to terms and conditions

UCS may change or revise these terms and conditions at any time without notice to anyone.

Any changes will become effective as per the date of publication of the updated terms and conditions.

By continuing to use the Reson8 services after we make the changes, you agree to be bound by the changed terms and charges. If you do not accept the changed terms or charges, you must stop using the service.
